Terms of Service

Welcome to Top Tides, LLC. By engaging our digital marketing, SEO, and advertising services, you formally agree to be bound by the following professional terms and conditions governing our agency-client relationship.

1. Scope of Digital Services

Top Tides, LLC agrees to actively provide the digital marketing services meticulously described in your custom proposal or master service contract (including but not limited to SEO, PPC Management, Content Creation, and Conversion Rate Optimization). We will diligently perform these services in a highly professional manner in strict accordance with current digital marketing industry standards.

2. Client Onboarding and Responsibilities

The Client agrees to promptly provide necessary administrative access to website CMS systems, analytics accounts, and digital ad platforms required for Top Tides, LLC to execute its marketing duties without delay. The Client remains solely responsible for the strict legality and factual accuracy of any content, claims, or proprietary assets provided to us for use in public advertisements or on their domain.

3. Payment Terms and Ad Spend

Fees for professional services are due exactly as outlined in your specific Service Agreement. Monthly retainer fees are generally billed in advance of service delivery. Late payments may result in an immediate pause of active campaign management or managed ad spend until the balance is resolved.

4. Intellectual Property and Creative Assets

Unless formally otherwise agreed, any custom ad creative, persuasive copy, or unique marketing strategies developed by Top Tides, LLC specifically for the Client will officially become the exclusive property of the Client upon the receipt of full and final payment for those specific deliverables.

5. Limitation of Agency Liability

Top Tides, LLC shall absolutely not be held liable for any indirect, incidental, or consequential damages resulting from the standard use of our marketing services or fluctuations in search engine algorithms. Our maximum total liability is strictly limited to the direct amount paid by the Client to the agency for the specific management services during the single month preceding the event giving rise to the formal claim.

6. Timelines and Agreement Termination

Either party may choose to terminate the service agreement with a formal 30 days written notice, unless a rigid specific contract term (e.g., a structured 6-month SEO sprint) has been mutually agreed upon and signed within the Master Service Agreement. Early termination of fixed-term contracts may incur standard buyout fees.
